This platform is an AI-powered chiropractic practice audit and analysis platform designed for chiropractors, healthcare consultants, and practice transformation advisors. By accessing or using our services, you agree to be bound by these Terms of Service.

You must be at least 18 years of age or represent a valid healthcare practice or business entity to use our services. By using our platform, you represent and warrant that you meet these requirements.

2. Account Registration and Management

To use our platform, you must create an account with:

  • A valid email address
  • Professional and practice information
  • Valid payment method for subscription services

You are responsible for maintaining the security and confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access or use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activities.

3. Subscription and Billing Terms

Our platform operates on a credit-based pricing model. By subscribing to our services, you agree to:

  • Pay all fees associated with your selected subscription plan
  • Provide accurate and current payment information
  • Authorize us to charge your payment method for recurring subscription fees

All payments are processed securely through Stripe. We do not store your complete payment card information on our servers.

Refund Policy: We do not offer pro-rated refunds for subscription cancellations. When you cancel your subscription, you will retain access to the platform until the end of your current billing period.

4. Platform Usage and Restrictions

You agree to use our platform only for lawful purposes and in accordance with these Terms. You specifically agree NOT to:

  • Attempt to reverse engineer, decompile, or disassemble the platform
  • Upload harmful content, malware, or viruses
  • Share your account credentials with unauthorized third parties
  • Use the platform to upload content that is not related to professional healthcare practice management
  • Violate any applicable laws, regulations, or third-party rights
  • Interfere with or disrupt the platform's functionality or security

Platform usage is limited to professional chiropractic practice documents, assessments, and business analysis materials.

5. Intellectual Property Rights

The platform, including all software, designs, text, graphics, and other content, is owned by us and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the platform.

Your Content: You retain ownership of all content, documents, and data you upload to the platform. By using our services, you grant us a limited license to:

  • Process and analyze your content to provide our services
  • Use aggregated, anonymized data for service improvement and trend analysis
  • Generate audit reports and recommendations based on your input

6. Data Processing and AI Services

Our platform uses third-party AI service providers (such as OpenAI) to analyze practice data and generate audit reports and recommendations.

AI Limitations: While we strive for accuracy, AI-generated content and analysis may not be completely accurate or suitable for all situations. You acknowledge that:

  • AI outputs should be reviewed and validated by qualified professionals
  • The platform provides analysis tools, not professional healthcare or business advice
  • You are responsible for verifying all AI-generated recommendations before implementation

7. Service Availability and Limitations

We aim to maintain 99.5% platform uptime, but we cannot guarantee uninterrupted or error-free service. We are not liable for:

  • Service interruptions due to maintenance, updates, or technical issues
  • Loss of data resulting from system failures or security breaches
  • Third-party service provider outages or performance issues
  • Issues arising from your internet connectivity or device problems

8. Liability and Disclaimers

Service "AS IS": Our platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability: To the fullest extent permitted by law, our total liability to you for any claims arising from or related to these Terms or your use of the platform shall not exceed the greater of:

  • $100, or
  • The amount you paid us in the 12 months preceding the claim

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

9. Privacy and Data Protection

Your use of the platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal and practice information. Our data handling practices follow industry-standard security protocols for business information protection.

10. Dispute Resolution and Governing Law

Governing Law: These Terms are governed by the laws of the State of Ohio, without regard to its conflict of law provisions.

Binding Arbitration: Any disputes arising from these Terms or your use of the platform will be resolved through binding arbitration in Reno, Nevada, in accordance with the rules of the American Arbitration Association.

Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or platform notification. Your continued use of the platform after such changes constitutes acceptance of the updated Terms.
